The Directorate of Registration of Businesses, Associations and NGOs shall exercise all powers, reasonably necessary, to fulfil the following functions of the Ministry—

• Registering companies, businesses and other legal entities in South Sudan;
• Ensuring that all businesses are operated in accordance with the law;
• Registering patents, inventions, designs and intellectual property rights in South Sudan;
• Reviewing the articles and memoranda of association of companies and constitutions of associations and societies for compatibility with the INC, ICSS, and the States Interim Constitutions;
• Keeping register of the registered entities inform of a database;
• Ensuring that companies file their returns regularly to keep updated register of registered entities;
• Carry out regular inspection to ensure compliance by registered businesses legal entities;
• Carry out investigation when petitioned by shareholders and other company officials regarding mismanagement and issues of transparency;
• Settle disputes among shareholders as regulator before sending them to courts for further adjudications;
• Approve validation of businesses and company information for e-tax purposes before issuance of TIN to make sure rightful shareholders information is are kept;
• Rendering of legal opinion on issues relating to companies as requested by both private or Government;
• Performing any other function or duty which may be assigned to it or reasonably related to the foregoing activities.
